Agreement between User and nfpt.com
Welcome to nfpt.com. The nfpt.com website (the “Site”) is comprised of various web pages operated by the National Federation of Professional Trainers (“NFPT”). nfpt.com is offered to you conditioned on your acceptance without modification of the terms, conditions and notices contained herein (the “Terms”). Your use of NFPT.com constitutes your agreement to all such Terms. Please read these terms carefully and keep a copy of them for your reference.
NFPT.com is an E-Commerce Site.
The purpose of this site is to sell certification packages and memberships to prepare and certify personal fitness trainers for a successful career. NFPT also provides free and paid continuing education programs to trainers once they earn certification, as well as one of the most active informational blogs in the industry.
Privacy
Your use of nfpt.com is subject to NFPT’s Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.
Electronic Communications
Visiting NFPT.com or sending emails to NFPT constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures and other communications that NFPT provides to you electronically, via email and on the Site, satisfy any legal requirement that such communications be in writing.
Your Account
If you use this site, you are responsible for maintaining the confidentiality of your NFPT account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that NFPT is not responsible for third party access to your account that results from theft or misappropriation of your account. NFPT and its associates reserve the right to refuse or cancel service, terminate accounts or remove or edit content in our sole discretion.
Children Under 13 years old
NFPT does not knowingly collect, either online or offline, personal information from people under the age of 13. If you are under 18, you may use nfpt.com only with the permission of a parent or guardian.
Subscriber/Member Status and Contract Formation
By placing your order for a subscription, you warrant that you are legally capable of entering into binding contracts and that you are at least 18 years old. After placing an order either over the telephone or through our website, you will receive an email from us confirming your purchase. This agreement will relate only to the subscription we have confirmed in the email.
Auto-Renewal
When you purchase one of our subscriptions, you will be informed about our auto-renewal service. With this service, your subscription will be automatically renewed at the end of each subscription term at the subscription price then in effect, using the credit/debit card you have provided. Your credit card or method of payment will be charged at the time of purchase and before the start of each new term, at the rate stated in the notice. You accept responsibility for all recurring charges prior to cancellation. Subject to applicable law, we reserve the right not to renew your subscription at any time any for any reason.
Monthly Payment Plan
With a monthly payment plan, you agree to be obligated and legally bound to pay the monthly installments, subject to your cancellation rights listed below. The first installment will be billed when the subscription begins and approximately every thirty (30) days thereafter to the credit card or payment method associated with the order. NFPT will not charge you interest charges or fees with your monthly payment plan, but your credit card company may do so based on the terms and conditions of your individual credit card agreement.
If a payment fails for any reason, your membership will be immediately suspended. NFPT will attempt to process the payment for a period of 7-14 days. If payment is successfully collected within this time, your membership will be reinstated. If payment remains unsuccessful after 14 days, the subscription will be canceled, and access to membership benefits will be revoked.
To avoid disruptions, you are responsible for ensuring your payment method remains up to date. NFPT is not responsible for any membership interruptions due to payment failures.
NFPT reserves the right to notify members prior to an upcoming renewal charge. However, it remains the responsibility of the subscriber to ensure that their payment method is valid and has sufficient funds at the time of renewal.
Cancellation/Refund Policy
You may cancel your monthly membership subscription at any time. Access to membership materials will be removed at the time of the next billing cycle post-cancellation. You can cancel your subscription by contacting our Customer Care department by phone or email or via the billing page on your account.
For packages, NFPT has adopted a simple refund policy that allows a full refund minus a $50 processing fee within the first 30 days of the original date of Premier Certification Packages, Standard Certification Packages, and Exam Voucher enrollments. No refund is provided after 30 days from the original application date or if the exam has already been scheduled/completed, regardless of a passing or failing score.
All hard copy and digital resources are non-refundable.
Exam extension fees, re-scheduling fees, and re-test fees are non-refundable.
NFPT Certification Renewal Fee is non-refundable.
NFPT Advanced Continuing Education Courses, the refund policy allows for a full refund minus a $30 processing fee within the first 30 days of the original enrollment. After 30 days, no refund is provided or if the exam has been completed, regardless of a passing or failing score.
NFPT Introductory Continuing Education Courses are non-refundable.
Your monthly membership subscription may be canceled at any time, and access to membership materials will end at the start of the next billing cycle after cancellation. No prorated refunds will be provided for mid-cycle cancellations.
Price and Payment Method
The prices for our subscriptions and the offering and acceptance of promotions, vouchers, or discounts (including for any renewal periods) are made in our absolute discretion and are subject to change. We accept payment with American Express, Visa and Mastercard, as well as Paypal and Venmo. We reserve the right to change the payment methods we accept at any time.
If you believe a charge was made in error, you must contact NFPT Customer Care before initiating a chargeback with your bank or credit card provider. NFPT reserves the right to dispute chargebacks that are inconsistent with these Terms & Conditions. Unresolved charge disputes may result in the permanent termination of your NFPT membership.
Changes to Membership Tiers & Benefits
NFPT reserves the right to modify, update, or discontinue membership benefits and pricing. If changes occur, NFPT will notify active subscribers before their next renewal date. Any continued use of membership after the effective change date constitutes acceptance of the new terms.
Warranty
We warrant to you that your purchased subscription will conform with its description on our website and be reasonably fit for the purposes for which products and services of that kind are commonly supplied. YOU AGREE TO USE OUR PRODUCTS AND SERVICES AT YOUR OWN RISK. NFPT DOES NOT GUARANTEE THAT YOUR USE OF OUR PRODUCTS OR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. OTHER THAN AS EXPRESSLY WARRANTED IN THESE TERMS AND CONDITIONS, THE PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” FOR SUBSCRIBER’S USE WITHOUT WARRANTIES OR CONDITIONS, EITHER EXPRESS, IMPLIED, OR STATUTORY. WE DO NOT MAKE ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, OR NONINFRINGEMENT.

The Linked Sites are not under the control of NFPT and NFPT is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. NFPT is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by NFPT of the site or any association with its operators.
Certain services made available via nfpt.com are delivered by third party sites and organizations. By using any product, service or functionality originating from the nfpt.com domain, you hereby acknowledge and consent that NFPT may share such information and data with any third party with whom NFPT has a contractual relationship to provide the requested product, service or functionality on behalf of nfpt.com users and customers.
No Unlawful or Prohibited Use/Intellectual Property
You are granted a non-exclusive, non-transferable, revocable license to access and use nfpt.com strictly in accordance with these terms of use. As a condition of your use of the Site, you warrant to NFPT that you will not use the Site for any purpose that is unlawful or prohibited by these Terms. You may not use the Site in any manner that could damage, disable, overburden or impair the Site or interfere with any other party’s use and enjoyment of the Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site.
All content included as part of the Service, such as text, graphics, logos and images, as well as the compilation thereof, and any software used on the Site, is the property of NFPT or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained in any such content and will not make any changes thereto.
You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works or in any way exploit any of the content, in whole or in part, found on the Site. NFPT content is not for resale. Your use of the Site does not entitle you to make any unauthorized use of any protected content and, in particular, you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use and will make no other use of the content without the express written permission of NFPT and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of NFPT or our licensors except as expressly authorized by these Terms.
Employer/Contractor Access
To the extent your subscription is arranged or provided by your employer or other contracting party, such employer or contracting party shall receive or have access to information concerning your participation and use of the services.
Events Outside Our Control
We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under this agreement or with respect to a subscription that is caused by events outside our reasonable control a (a “Force Majeure Event”). A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes in particular (without limitation) the following: strikes, civil commotion, riot, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, flood, earthquake, or other natural disaster. Our performance under this agreement is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use our reasonable endeavors to bring the Force Majeure Event to a close or to find a solution by which our obligations under this agreement may be performed despite the Force Majeure Event.
International Users
The Service is controlled, operated and administered by NFPT from our offices within the USA. If you access the Service from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use the NFPT Content accessed through nfpt.com in any country or in any manner prohibited by any applicable laws, restrictions or regulations.
Indemnification
You agree to indemnify, defend and hold harmless NFPT, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. NFPT reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with NFPT in asserting any available defenses.
Class Action Waiver
Any arbitration under these Terms and Conditions will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both you and NFPT agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.
Liability Disclaimer
The information, software, products and services included in or available through the site may include inaccuracies or typographical errors. Changes are periodically added to the information herein. National Federation of Professional Trainers and/or its suppliers may make improvements and/or changes in the site at any time.
National Federation of Professional Trainers and/or its suppliers make no representations about the suitability, reliability, availability, timeliness and accuracy of the information, software, products, services and related graphics contained on the site for any purpose. To the maximum extent permitted by applicable law, all such information, software, products, services and related graphics are provided “as is” without warranty or condition of any kind. National Federation of Professional Trainers and/or its suppliers hereby disclaim all warranties and conditions with regard to this information, software, products, services and related graphics, including all implied warranties or conditions of merchantability, fitness for a particular purpose, title and non-infringement.
To the maximum extent permitted by applicable law, in no event shall national federation of professional trainers and/or its suppliers be liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data or profits, arising out of or in any way connected with the use or performance of the site, with the delay or inability to use the site or related services, the provision of or failure to provide services, or for any information, software, products, services and related graphics obtained through the site, or otherwise arising out of the use of the site, whether based on contract, tort, negligence, strict liability or otherwise, even if national federation of professional trainers or any of its suppliers has been advised of the possibility of damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. If you are dissatisfied with any portion of the site, or with any of these terms of use, your sole and exclusive remedy is to discontinue using the site.
Waiver
If we fail, at any time during the term of this agreement, to insist upon strict performance of any of your obligations under this agreement or any of these terms and conditions, or if we fail to exercise any of the rights or remedies to which we are entitled under this agreement, such failure will not constitute a waiver of such rights or remedies and will not relieve you from compliance with such obligations. A waiver by us of any default will not constitute a waiver of any subsequent default. No waiver by us of any of these terms and conditions will be effective unless it is expressly stated to be a waiver and is communicated to you in writing.
Entire Agreement; Severability
These terms and conditions and any instruments or materials expressly referred to herein constitute the whole agreement between us with respect to your subscription and supersede all previous discussions, correspondence, negotiations, arrangement, understanding or agreement between us relating to your subscription. We each acknowledge that, in entering into this agreement, neither of us relies on any representation or warranty (whether made innocently or negligently) that is not set out in these terms and conditions or referenced herein. Each of us agrees that our only liability in respect of those representations and warranties that are set out in this agreement (whether made innocently or negligently) will be for breach of contract. Nothing in this clause limits or excludes any liability for fraud. If any of these terms and conditions or any provisions of this agreement are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.
Termination/Access Restriction
NFPT reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of Tennessee, and you hereby consent to the exclusive jurisdiction and venue of courts in Tennessee in all disputes arising out of or relating to the use of the Site, or in connection with this agreement or your subscription purchase (including non-contractual disputes or claims). Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.
You agree that no joint venture, partnership, employment or agency relationship exists between you and NFPT as a result of this agreement or use of the Site. NFPT’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of NFPT’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by NFPT with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.
Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and NFPT with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and NFPT with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.
Changes to Terms
NFPT reserves the right, in its sole discretion, to change the Terms under which NFPT.com is offered. The most current version of the Terms will supersede all previous versions. NFPT encourages you to periodically review the Terms to stay informed of our updates.
Our Right to Vary These Terms and Conditions
We have the right to revise and amend these terms and conditions from time to time to reflect changes in market conditions affecting our business, changes in technology, changes in payment methods, changes in relevant laws and regulatory requirements and changes in our system’s capabilities. You will be subject to the terms and conditions in force at the time that you purchase your subscription from us, unless any change to those terms and conditions is required to be made by law or governmental authority (in which case it will apply to all purchases previously placed by you), or if we notify you of the change to those terms and conditions before your next renewal and you do not cancel such renewal (in which case we have the right to assume that you have accepted the change to the terms and conditions).
